Affiliate Program Terms of Service

The rules of the program, in plain language.

These terms govern your participation in the Minutes.llc Affiliate Program. By submitting an affiliate application and using your referral link, you agree to these terms. Minutes.llc reserves the right to update these terms at any time. Continued participation after changes constitutes acceptance.

1. Program Overview

The Minutes.llc Affiliate Program allows approved partners to earn recurring commissions by referring new paying customers to Minutes.llc. Affiliates receive a unique referral link and access to a real-time dashboard to track clicks, signups, and earnings.

Minutes.llc is operated by Minutes, LLC. The program is administered through the Minutes.llc platform at app.minutes.llc.

2. Eligibility and Approval

Anyone may apply to the affiliate program. Approval is at the sole discretion of Minutes.llc. We review applications within 2 business days. We reserve the right to reject any application or terminate any affiliate relationship at any time, for any reason, with or without notice.

Affiliates must be at least 18 years old. Affiliates must provide accurate information in their application. Misrepresentation of audience, reach, or identity is grounds for immediate termination and forfeiture of unpaid commissions.

3. Commission Structure

Affiliates earn a commission of 25% of the net revenue from each referred customer’s payments. This applies to all subscription payments and one-time purchases made by referred customers, for as long as the customer remains a paying user.

“Net revenue” means the amount received by Minutes.llc after payment processor fees, refunds, chargebacks, and disputes are deducted.

Commissions are calculated at the end of each calendar month. Payouts are processed within 15 business days after the end of the month in which they were earned.

Commission rates may be changed with 30 days’ written notice to affiliates. Changes apply only to future referrals — existing referral commission rates are honored for the lifetime of that referral.

4. Referral Tracking and Attribution

Referrals are tracked using a cookie-based system with a 30-day attribution window. When a visitor clicks your referral link, a cookie is set. If that visitor creates an account and makes a purchase within 30 days of the click, the referral is attributed to you.

If a visitor clears their cookies, uses a different device, or the cookie expires before they sign up, the referral will not be attributed. Minutes.llc is not responsible for lost attribution due to browser settings, ad blockers, or technical limitations.

Each customer can only be attributed to one affiliate. The first affiliate whose link the customer clicked within the attribution window receives credit. If a customer was already a Minutes.llc user before clicking your link, no commission is earned.

5. Payouts

Commissions are paid via Stripe Connect. Affiliates must connect a valid bank account or debit card through the Stripe onboarding process provided in the affiliate dashboard.

There is no minimum payout threshold. Commissions earned in a given month are paid out after the end of that month.

If a referred customer requests a refund or initiates a chargeback, the corresponding commission will be deducted from your next payout. If your balance is negative due to refunds or chargebacks, it will be carried forward and offset against future earnings.

Minutes.llc does not withhold taxes on affiliate payouts. Affiliates are responsible for reporting and paying all applicable taxes on their earnings. Affiliates earning $600 or more per calendar year may be required to provide a W-9 (for US affiliates) or W-8BEN (for non-US affiliates) before payouts can continue.

6. Approved Promotional Methods

7. Content Guidelines and Restrictions

All affiliate content must be truthful and consistent with Minutes.llc’s approved claims. The following are strictly prohibited:

Affiliates must include an affiliate disclosure in any content that contains or is adjacent to their referral link. The disclosure must comply with FTC Endorsement Guidelines and be clear and conspicuous. Example: “This post contains an affiliate link. I may earn a commission if you sign up through my link.”

Minutes.llc reserves the right to review any affiliate content and request modifications or removal. Failure to comply with a content modification request within 7 days is grounds for termination.

8. Prohibited Activities

The following activities are grounds for immediate termination and forfeiture of all unpaid commissions:

9. Intellectual Property

Minutes.llc grants affiliates a limited, non-exclusive, revocable license to use the Minutes.llc name and logo solely for the purpose of promoting the affiliate program. This license terminates immediately upon termination of your affiliate status.

Affiliates may not modify, alter, or create derivative works from Minutes.llc branding materials. Affiliates may not use Minutes.llc branding in any way that implies endorsement, partnership, or official affiliation beyond the affiliate relationship.

10. Term and Termination

This agreement is effective from the date your application is approved and continues until terminated by either party.

Either party may terminate this agreement at any time, for any reason, by providing written notice via email. Upon termination by the affiliate, commissions earned before the termination date will be paid out on the next regular payout cycle. Upon termination by Minutes.llc for cause (violation of these terms), all unpaid commissions are forfeited.

Upon termination, the affiliate must immediately stop using all referral links, Minutes.llc branding, and promotional materials. Existing cookies will continue to track through their natural expiration but no new referrals will be attributed.

11. Indemnification

The affiliate agrees to indemnify, defend, and hold harmless Minutes.llc, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the affiliate’s promotional activities, content, or breach of these terms.

This indemnification obligation survives termination of this agreement.

12. No Assignment

Affiliates may not assign, transfer, or sublicense their affiliate status, referral link, or any rights under this agreement to any third party without prior written consent from Minutes.llc. Any attempted assignment without consent is void.

Minutes.llc may assign this agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

13. Limitation of Liability

Minutes.llc’s total liability to any affiliate under this agreement shall not exceed the total commissions paid to that affiliate in the 12 months preceding the claim. In no event shall Minutes.llc be liable for indirect, incidental, consequential, or punitive damages arising from this agreement.

The affiliate program is provided “as is.” Minutes.llc does not guarantee any level of earnings, traffic, or conversion. Commission rates, cookie windows, and program terms are subject to change as described in these terms.

14. Class Action Waiver

To the fullest extent permitted by law, any disputes between the affiliate and Minutes.llc shall be resolved on an individual basis only. The affiliate waives any right to participate in a class action, collective action, or representative proceeding against Minutes.llc, whether as a named plaintiff or class member, in any court or forum.

15. Severability

If any provision of this agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions shall continue in full force and effect.

16. Relationship of Parties

Affiliates are independent contractors. Nothing in this agreement creates an employment, partnership, joint venture, or agency relationship. Affiliates are solely responsible for their own taxes, insurance, and business expenses.

17. Governing Law

This agreement is governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict of law principles. Any disputes arising from this agreement shall be resolved in the courts of San Juan, Puerto Rico.
